1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Chrysalis FM ("we", "us", or "our") and govern your use of our website and services.

By accessing or using our website, requesting our services, or engaging with Chrysalis FM in any capacity, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our website or services.

2. Description of Services

Chrysalis FM provides strategic facilities management consultancy, including but not limited to:

  • FM consultancy and advisory services
  • Estates and compliance management
  • Project delivery and management
  • Leadership coaching and training
  • Proprietary 9-Liner FM assessment platform
  • Strategic FM planning and implementation

Specific services, deliverables, timelines, and fees will be outlined in separate engagement letters or service agreements.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into binding agreements to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate, complete, and timely information necessary for us to perform our services
  • Designate a primary point of contact for project communications
  • Review and provide feedback on deliverables within agreed timeframes
  • Make timely payments as specified in engagement agreements
  • Obtain necessary internal approvals and access to facilities as required
  • Use our services and deliverables only for lawful purposes

5. Fees and Payment

Our fees are structured based on the specific services provided and will be detailed in engagement letters or proposals. Payment terms typically include:

  • Fees are quoted in GBP (£) unless otherwise stated
  • Payment is due within 30 days of invoice date unless otherwise agreed
  • Late payments may incur interest at 8% above the Bank of England base rate
  • Expenses (travel, accommodation, etc.) are billed separately with prior approval
  • Cancellation fees may apply for projects terminated without cause

6. Intellectual Property Rights

Our Property

All intellectual property rights in our methodologies, frameworks, assessment tools (including the 9-Liner platform), templates, reports, and materials remain our exclusive property. You receive a limited, non-exclusive, non-transferable licence to use deliverables for your internal business purposes only.

Your Property

You retain all intellectual property rights in your pre-existing materials, data, and information provided to us. We receive a limited licence to use such materials solely for the purpose of providing our services.

7. Confidentiality

Both parties agree to maintain strict confidentiality:

  • We will not disclose your confidential information to third parties without your consent
  • You agree not to disclose our proprietary methodologies, tools, or confidential information
  • Confidentiality obligations survive termination of the business relationship
  • Exceptions apply for information that is publicly available or required to be disclosed by law

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the fees paid for the specific services giving rise to the claim
  • We are not liable for indirect, consequential, incidental, or punitive damages
  • We are not liable for loss of profits, revenue, business, or data
  • We provide services on an "as is" basis without warranties of any kind

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Chrysalis FM from any claims, losses, damages, liabilities, costs, or expenses arising from your use of our services, breach of these Terms, or violation of any third-party rights.

10. Term and Termination

Term: These Terms remain in effect for the duration of our business relationship unless terminated earlier.

Termination by You: You may terminate services at any time with written notice. Fees for work completed up to the termination date remain payable.

Termination by Us: We may terminate services for non-payment, breach of terms, or other legitimate reasons with reasonable notice.

Effect of Termination: Upon termination, all outstanding payments become immediately due, and you must cease using our proprietary materials.

11. Website Use

When using our website, you agree not to:

  • Use the site for any unlawful purpose
  • Attempt to gain unauthorised access to our systems
  • Interfere with the proper functioning of the website
  • Use automated systems to access the site without permission
  • Transmit malicious code or viruses

12. Third-Party Links

Our website may contain links to third-party websites. We do not endorse and are not responsible for the content, privacy policies, or practices of third-party sites. You access such sites at your own risk.

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, or government actions.

16. Entire Agreement

These Terms, together with any engagement letters or service agreements, constitute the entire agreement between you and Chrysalis FM regarding the subject matter and supersede all prior agreements, understandings, or representations.

17. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

18. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Waivers must be in writing and signed by an authorised representative of Chrysalis FM.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity or in connection with a merger, acquisition, or sale of assets.
